2. Our Role as a Freight Brokerage (Not a Carrier)

I & Them Logistics LLC operates as a freight broker/transportation brokerage, meaning we arrange transportation by connecting shippers with motor carriers and coordinating freight movement. We do not operate trucks, do not take possession of freight as a carrier, and do not provide carrier transportation services.

3. Quotes, Rates, and Estimates

3.1 Quotes Are Not Guaranteed

All freight quotes and rate estimates are based on information you provide and market conditions (capacity, lane demand, fuel, accessorial requirements). Quotes are subject to change if shipment details change or if actual conditions differ.

3.2 Estimated Transit Times

Pickup and delivery windows are estimates only and may change due to weather, traffic, road conditions, mechanical issues, appointment availability, regulatory requirements, or carrier constraints. We do not guarantee delivery dates or times.

3.3 Accessorial Charges

Additional charges may apply for services such as liftgate, residential delivery, limited access, detention, layover, re-delivery, reweigh/reclass (LTL), appointment requirements, or special handling. These charges may be billed based on carrier invoices and supporting documentation.

4. User Responsibilities

You agree to provide accurate and complete information, including:

• Correct pickup/delivery addresses and contacts
• Accurate freight description (commodity, weight, dimensions, pallet count, packaging)
• Required special instructions and access requirements
• Proper labeling, packaging, and securement readiness (shipper responsibility unless otherwise agreed in writing)

Inaccurate information may result in delays, added costs, or re-quotes.

5. Booking, Documentation, and Communication

If you choose to proceed with a shipment, you may be required to:

• Confirm shipment details in writing (email or portal if applicable)
• Provide or approve documentation (e.g., BOL instructions, references, appointment notes)
• Ensure freight is ready at the scheduled pickup time

You agree to respond promptly to information requests needed for carrier coordination.

6. Shipment Claims, Loss, and Damage

6.1 Carrier Liability

Motor carriers are generally responsible for cargo loss or damage under applicable law and their terms. As a broker, I & Them facilitates coordination and may assist with documentation, but the carrier’s liability rules and claim process apply.

6.2 Claims Assistance (Broker Support)

We may help you identify required claim documentation and communicate with carriers, but we do not guarantee claim outcomes. Timelines, evidence, packaging condition, and carrier terms affect claim results.

6.3 Cargo Insurance

Additional cargo insurance may be available upon request (where offered). If you need higher coverage, you must request it before dispatch/booking.

7. Payment Terms (If Applicable)

If I & Them invoices you directly, payment terms will be stated on the invoice or in a separate written agreement. Late payments may result in service suspension and/or collection efforts as permitted by law.

8. Prohibited Use

You agree not to:

• Use the website for unlawful purposes
• Submit false, misleading, or fraudulent information
• Interfere with website security or functionality
• Attempt unauthorized access to our systems or data
• Use the website to transmit malware, spam, or harmful content

9. Intellectual Property

All website content (text, graphics, logos, design elements) is owned by or licensed to I & Them Logistics LLC and protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute content without written permission.

10. Disclaimer of Warranties

The website and its content are provided on an “as is” and “as available” basis. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, I & Them Logistics LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption, arising from your use of the website or services.
